The upgrade version is for peeps who have a previous windows operating system. It means they get XP home cheaper. You must have the previous OS CD / floppies to verify you actually have it and you have to insert them when prompted, otherwise its the same as the full price version.
Microsoft continually works to improve its software. As part of this effort, we develop updates and fixes to recognized issues and release them for customers. On a regular basis, we combine many of these fixes into a single package and make the package available for you to install on your computers. These packages are called Service Packs.
Windows XP Service Pack 1a (SP1a) provides the latest security and reliability updates to the Windows XP family of operating systems, and includes Internet Explorer 6 SP1a. Windows XP SP1a is designed to ensure Windows XP platform compatibility with newly released software and hardware, and includes updates that resolve issues discovered by customers or by Microsoft's internal testing team. To determine whether to install Windows XP SP1a, we recommend reviewing the Windows XP documentation and information below. If you have already installed Windows XP SP1, you do not need to Windows XP SP1a.

The difference between SP1 ans SP1a is thatMS released SP1a to satisfy a court order preventing them from distributing their own superior version of Java. Install SP1, NOT SP1a, or your Java VM will be removed.
